Course Aims

This course provides detailed examination of Hong Kong's IPO framework and post-listing compliance obligations under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (“Listing Rules”), Securities and Futures Ordinance, Companies (Winding Up and Miscellaneous Provisions) Ordinance and other applicable laws. The curriculum covers traditional listing eligibility requirements and special listing regimes and structures such as weighted voting rights, specialist technology companies, biotech companies, and primary/secondary listings. The course examines ongoing compliance obligations under the Listing Rules including periodic disclosures, notifiable transactions, connected transactions. Particular focus is given to insight of corporate governance, spin-off and reverse takeover, trading resumption, and core shareholder protection principles. Through case studies of disciplinary decisions and enforcement actions by regulators, students learn to navigate complex listing and post-listing scenarios and compliance failures. The course prepares students to advise on listing applications and ensure continuous compliance with Hong Kong's evolving listing regime.
